Terms of Use

You should carefully read the following terms and conditions. Your purchase or use of our products or services implies that you have read and accepted these Terms of Use. ThemePartner also reserves the right to change or modify these terms without prior notice.

Limited Usage Granted

You may use each individual product on an unlimited amount of websites, belonging to either you or your client.

Unauthorized Use

You may not place any of our products, modified or unmodified, on a diskette, CD, website or any other medium and offer them for redistribution or resale of any kind, without prior written consent from ThemePartner.

Warranty

ThemePartner does not warrant or guarantee these products in any manner. We cannot guarantee they will function with all third party extensions. Browser compatibility should be tested against the demonstration products on the demo server. Please ensure that the browsers you use will work with the products as we can not guarantee that ThemePartner products will work with all browser combinations.

Refund Policy

Customers may ask for a 100% refund of their purchase price within 30 (thirty) days of date of purchase. ThemePartner will evaluate the refund request and will grant it, unless we believe the customer has violated these Terms of Use. Refunds are not instant and it could take up to as many as 7 (seven) days for the funds to be processed and returned to you.

Indemnification

You agree to defend, indemnify, and hold harmless ThemePartner, its officers, directors, employees, agents, and partners, from and against any third-party claims, actions, demands, liabilities, expenses, and costs, including without limitation reasonable legal and accounting fees, arising from or related to your use of the ThemePartner.com website, your violation of these Terms of Use, or your violation of any laws, regulations, or third-party rights.

Delivery

After we have successfully received your payment, a download link will be presented immediately on our website. The download information will also be emailed to the email address you provided during the payment process. This email will usually be sent within minutes after your payment has been completed and confirmed. We do however hold the right to extend the time frame if required as a method to prevent fraud. Delays can be as long as 1 hour up to 24 hours depending on the situation and amount of investigation required after a fraud alert has been activated. If you do not receive an email after this time frame, contact us.

Support

ThemePartner offers these products 'as is', with no implied meaning that they will function exactly as you wish or with all third party extensions, components, modules or other products. Further, we have no obligation to provide support via email or otherwise for installation, customization, administration, etc. We do however reserve the right to respond and answer questions that are sent to us.

Modifications

You are authorized to make any necessary modification(s) to our products to fit your purposes. You may not, however, redistribute or release modifications as GPL or otherwise. You may also not change or remove the copyright information in the header of the XML descriptor file. You may however remove our copyright from the footer of the products if needed.

Ownership

You may not claim intellectual or exclusive ownership to any of our products, modified or unmodified. All products are the property of ThemePartner. Our products are provided 'as is' without warranty of any kind, either expressed or implied. In no event shall ThemePartner be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products.

Assignability

You may not sub-license, assign, or transfer this license to anyone else without prior written consent from ThemePartner.

Updates

All products are always designed for the latest version of Joomla, but we can give no guarantee that all products will work on future versions of Joomla.

Content

The content (text, images, etc.) used in our demos are displayed for demonstration purposes only, and should not be used in any live environment without the express permission of ThemePartner or any other copyright holder.

License

All Joomla! related ThemePartner products (templates, modules, components, plugins, etc.) are released under the GNU/GPLv2 GPL version 2.0 license (http://www.gnu.org/licenses/gpl-2.0.html GNU/GPLv2). However, this license only applies to the PHP code portions of these products. All images, cascading style sheets, and included JavaScript are NOT GPL (unless otherwise specified), and are released under the ThemePartner Proprietary License, unless stated otherwise specifically by ThemePartner. Elements of the products released under this proprietary license may not be redistributed or repackaged for use other than those allowed by the Terms of Use.

Laws

The Terms of Use shall be governed by and construed in accordance with the laws of the Netherlands, without giving effect to principles of conflicts of law.

You agree to submit to the personal and exclusive jurisdiction of the Dutch courts located within the Netherlands to settle any claim or dispute which might arise out of or relates to the use of this website or products.

If any provision of the Terms of Use is held by a court of competent jurisdiction to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect.

The failure of ThemePartner to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision unless acknowledged and agreed to by ThemePartner in writing.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the products or the Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred.

The section titles in the Terms of Use are for convenience only and have no legal or contractual effect.
